Codelco complies 100% with the Transparency Law

"In the company of all Chileans, we are constantly implementing new definitions to become increasingly transparent," says Vice President Gabriel Méndez, who also highlights other initiatives such as making the agreement with SQM and the memorandum of understanding with Anglo American publicly available, as well as the online broadcast of the state-owned company's shareholders' meeting.

Santiago, May 26, 2025.- In its meeting held on May 13, the Transparency Council (CPLT) assessed compliance with the active transparency regulations governing state-owned companies.

"In the case of the National Copper Corporation of Chile (Codelco), compliance with the applicable obligations was inspected based on a review of the information provided on the active transparency tab of the codelco.com website (https://www.codelco.com/transparencia-activa), the disclosure of which was due on the tenth business day of March 2025," the CPLT explains in its notification letter.

Active transparency is the obligation of public bodies—including companies in which the State has a 50% or more shareholding—to keep permanently available, through their electronic sites, the information required in articles seven and ten of Law 20.285 on Access to Public Information, in a complete, understandable and monthly updated form.

Among other information, the following are required: the regulatory framework, such as the laws, regulations, and bylaws governing the company; the organizational chart with the internal organizational structure and the functions of each unit; the quarterly and annual financial statements; the annual reports; the participation in other entities, that is, information on its subsidiaries and associates; the composition of the board of directors; the consolidated staff and total remuneration; the remuneration of the directors, the executive president, the executive vice presidents, and members of senior management; in addition to minutes, resolutions, and other relevant documents.

Our commitment is to go further, promoting initiatives that anticipate good practices and foster a culture of integrity.”

Among these initiatives, Méndez highlighted the publication from day one of the agreement with SQM for the exploitation of lithium in the Salar de Atacama ( https://acuerdocodelcosqm.cl/ ), as well as the memorandum of understanding with Anglo American for a joint plan in the Andina-Los Bronces district ( https://www.codelco.com/alianza-andina-los-bronces ). “Both documents have been publicly available, accessible, and in a timely manner. The same is true of the live broadcast of our shareholders' meeting, which was held for the third consecutive year this year, and our annual Annual Report and Sustainability Report, which provide comprehensive information on our activities and indicators, in line with the highest international standards. These actions not only respond to legal obligations but also reflect a deep conviction: to be a modern state-owned company that operates under high standards of transparency at a global level.”
